Terms & Conditions

These Terms & Conditions (the “Terms”) form the binding agreement between Agora A1 Labs LTD, operating as ThorAI (“ThorAI”, “we”, “our”) and the vendor (“you”, “Vendor”) using the ThorAI platform. By registering, accepting these Terms at sign-up, or otherwise using the platform, you agree to everything below.
1. About This Agreement
This document covers the rules for using ThorAI as a vendor. It is incorporated into our Acceptable Use Policy and Privacy Policy, which are part of this Agreement by reference. Enterprise vendors may have additional terms set out in a separate Service Level Agreement that take precedence where they conflict with these Terms.
These Terms apply to all paid plans, including Essential, Growth, and Enterprise Multi-Branch, and to any free trial or evaluation period.
2. The Platform
ThorAI is a technology platform that helps African vendors launch fully verified online stores in minutes. We provide the AI-assisted store builder, hosted storefront, order management dashboard, chat automation, analytics, and integrations with third-party payment gateways (including Paystack, MTN MoMo, Vodafone Cash, and others depending on your region).
ThorAI is a technology platform, not a licensed financial institution. All payment processing is delivered exclusively through our partnerships with licensed payment service providers. Our obligations cover platform availability and integration performance: not the independent regulatory obligations of those payment partners.
3. Your Account
- You must provide accurate, complete, and up-to-date business information during registration and keep it current throughout the term of this Agreement.
- You must complete the required KYC / KYB (Know Your Customer / Know Your Business) verification within 5 business days of being asked, so we can enable payment processing for your store.
- You are responsible for the security of your account credentials. Notify us immediately at support@trythorai.com if you suspect unauthorised access.
- You must maintain a current and valid payment method on file to avoid interruption from failed subscription renewal.
4. Acceptable Use
By using ThorAI you agree not to:
- List products, services, or content that violate any applicable local or international law, infringe intellectual-property rights, or endanger buyer safety.
- Use the platform to facilitate fraud, launder funds, or evade regulatory obligations.
- Share account credentials with unauthorised parties, or use another vendor's credentials.
- Scrape, stress-test, reverse-engineer, or otherwise probe the platform's security without prior written consent.
- Inject custom code, third-party widgets, or scripts that compromise platform stability, security, or performance for other vendors.
We may suspend or remove any store or content that violates these rules, with or without notice.
5. Payments & Payouts
Payment Processing
- All payment processing on the ThorAI platform is handled by Paystack (a Stripe company), a licensed payment service provider operating under the regulations of the Central Bank of Ghana and the Central Bank of Nigeria. By using ThorAI you also agree to Paystack's Terms of Service.
- We do not store, transmit, or process raw payment card data. All card handling is performed by Paystack as a PCI-DSS Level 1 compliant processor.
Transaction Fees (Ghana)
Paystack charges the following transaction fees on payments processed through your store. These fees are deducted before funds are settled to your account. For the current and complete fee schedule, see paystack.com/gh/pricing.
- Local cards & Mobile Money: 1.5% + GHS 0.50 per transaction, capped at GHS 2,000. Transactions below GHS 20 are not charged the fixed GHS 0.50 fee.
- International cards: 3.9% + GHS 0.50 per transaction.
- ThorAI does not add any additional processing markup on top of Paystack's stated fees.
Settlements & Payouts
- Payouts to your registered bank account or Mobile Money wallet are processed automatically by Paystack on a T+1 settlement cycle: funds are typically received the next business day after a transaction settles. Settlement timing is subject to Paystack's settlement policy and may vary during public holidays or banking system delays.
- Your payout account (bank or MoMo) must be verified through ThorAI's KYC process before settlements can be enabled. Each store is issued a dedicated Paystack subaccount; funds are split and routed automatically at the point of each customer payment.
- You can track all past and pending payouts in real time from your vendor dashboard.
- Refunds initiated by you are queued with Paystack within 24 business hours. Final receipt of funds by the buyer follows Paystack's processing timeline (typically 3–10 business days).
- You are responsible for taxes, chargebacks, customer refund obligations, and any regulatory compliance specific to your business and jurisdiction.
- We may withhold pending payouts while investigating suspected fraudulent activity and will release funds once the investigation is resolved.
6. Data Ownership & Privacy
- You own your data. Product data, customer records, order history, and transactions remain yours. We offer a self-service data export at any time, free of charge.
- We encrypt data at rest using AES-256 and in transit using TLS 1.2 or higher.
- We handle personal data in compliance with the Ghana Data Protection Act, Nigeria Data Protection Regulation (NDPR), and the EU GDPR where applicable to our EU operations.
- We will notify affected vendors within 72 hours of becoming aware of a personal data breach that affects your data, in line with applicable notification obligations.
- We will not sell, licence, or share your data or your customers' data with third parties for marketing or commercial profiling purposes.
7. Service Availability
We use commercially reasonable efforts to maintain platform availability. For Essential and Growth plans, the platform is provided on a best-effort basis without a formal uptime guarantee. Vendors on our Enterprise Multi-Branch tier may execute a separate Service Level Agreement that includes specific uptime commitments and service credits.
Regardless of tier, we will:
- Announce planned maintenance windows with at least 72 hours' notice via the vendor dashboard and status page.
- Update status.thorai.com within 15 minutes of a confirmed major incident.
- Deploy emergency security patches immediately where necessary to protect platform integrity, and notify vendors within 2 hours.
The following do not count as platform downtime or a service failure:
- Scheduled maintenance communicated in advance.
- Force-majeure events: natural disasters, acts of war, government-imposed internet shutdowns, or nationwide telco outages.
- Incidents caused by vendor actions (misuse, malicious scripts, deliberate overload).
- Third-party payment gateway outages beyond our direct control.
- Performance issues affecting only vendor-embedded third-party widgets or external services we don't operate.
8. Intellectual Property
You retain ownership of your brand assets, product content, imagery, and other materials you upload. You grant ThorAI a non-exclusive, royalty-free licence to host, display, cache, and distribute that content for the sole purpose of operating your store and providing the platform services.
The ThorAI platform, software, interfaces, AI models, and underlying technology remain the exclusive property of ThorAI Technologies.
9. Suspension & Termination
Termination by you
You may cancel your subscription at any time with 30 calendar days' written notice via the vendor dashboard or by emailing support@thorai.com. Partial-month refunds are not issued on vendor-initiated cancellations, unless we have materially breached these Terms and failed to remedy the breach within the applicable cure period.
On confirmed termination, we will provide a complete data export package within 5 business days, covering product data, order history, customer contacts, and transaction records.
Suspension or termination by us
We may:
- Suspend platform access with 24 hours' notice for non-payment of subscription fees overdue by more than 7 calendar days, with full restoration upon settlement.
- Immediately suspend any store found to be hosting prohibited, illegal, or harmful content, without prior notice.
- Terminate this Agreement with 30 calendar days' written notice for repeated or material breaches not cured within the applicable period.
- Terminate immediately, without prior notice, for severe violations of our Acceptable Use Policy (illegal content, fraud facilitation, or endangerment of buyers).
10. Disputes & Governing Law
If a dispute arises, both parties agree to follow this path before pursuing litigation:
- Informal resolution: submit the dispute to support@thorai.com; we respond within 5 business days.
- Escalated review: senior Vendor Relations review if not resolved within 10 business days.
- Mediation: non-binding mediation via a mutually agreed independent mediator if still unresolved after 20 business days.
- Binding arbitration: conducted under the rules of the Ghana Arbitration Centre (or the equivalent body in your country of registration) if mediation fails.
These Terms are governed by the laws of the Republic of Ghana for vendors registered in Ghana, and by the laws of the vendor's country of incorporation for vendors registered elsewhere in Africa, subject to applicable international trade agreements.
11. Changes to These Terms
We may update these Terms from time to time. Material changes that affect vendor-facing functionality or obligations will be announced via the vendor dashboard and email at least 14 calendar days before they take effect. Minor clarifications may be published without advance notice. Continued use of the platform after changes take effect constitutes acceptance.
Features scheduled for deprecation receive at least a 90-day notice with migration guidance.
12. Liability
The platform is provided “as is” on Essential and Growth plans. To the maximum extent permitted by applicable law, our total liability to you for any claim arising from or related to this Agreement is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of business, or loss of data, even if advised of the possibility.
You agree to indemnify and hold ThorAI harmless against claims arising from your content, products, violations of the Acceptable Use Policy, or breach of applicable law.
